Last updated: 18 October 2026·Applies as described in this document

These Terms & Conditions ("Terms") explain the rules for visiting gbinnovators.com (the "Corporate Website"), accessing GBI Invoicing (the "Invoicing Platform"), requesting demonstrations, purchasing applicable subscriptions and engaging GB Innovators for technology services. Please read them carefully before using a service or authorising an organisation to use one.

GBI Invoicing is a business software platform; it is not the Federal Board of Revenue, a government portal, a guarantee of tax compliance or an independent approval of invoice data. Only successful responses from the applicable official workflow establish that a particular submission was accepted.

1. Provider and agreement

"GB Innovators", "we", "our" and "us" refer to the provider of the Corporate Website and GBI Invoicing. "Customer", "you" and "your" refer to a visitor, a person acting for an organisation, or the organisation that opens or pays for an account as the context requires. "Services" include the Corporate Website, Invoicing Platform, demonstrations, customer support and contracted software services.

By using the Corporate Website or creating or using an Invoicing Platform account, you acknowledge these Terms. If you act for a business, you represent that you are authorised to accept the applicable service terms and grant account access on its behalf. If you do not agree, do not access or use the relevant Service.

2. Contract documents and order of precedence

A signed proposal, statement of work, service order, data-processing agreement or other specifically agreed written contract may establish additional or different terms for a particular customer or project. If those agreed documents conflict with these general Terms, the more specific signed or expressly accepted agreement controls to the extent of the conflict. Applicable law and non-waivable statutory rights always prevail.

Public website descriptions, demonstration footage, screenshots and general marketing content are informative; they do not expand the paid scope or replace an agreed implementation schedule, package description or written service commitment.

3. Services and permitted business use

GB Innovators provides software solutions, custom development and a hosted invoicing service that may include business profiles, customer/party records, product catalogues, invoice creation, invoice documents, tax-related fields, reports, user permissions, billing records and configured integrations. Feature availability depends on the subscribed plan, account role, activation status and applicable product configuration.

The Services are intended for lawful business use. You must supply accurate information, use the platform only for your own authorised activities, respect third-party rights and comply with applicable accounting, tax, employment, privacy, commercial and technology laws.

4. Accounts, organisations and authorised representatives

You must provide accurate registration and contact details, maintain them as necessary and protect all credentials, devices and authentication factors. Your organisation is responsible for creating and removing user access, determining who may manage records, reviewing consultant/delegated access and using available security controls appropriately.

Actions performed under an authorised account may be treated as instructions from the account holder within the scope of the relevant permissions. Notify us promptly of suspected compromise, incorrect permissions or unauthorised activity. We may request verification of identity or account authority before changing sensitive details or handling a data request.

5. Platform subscriptions, plans and limits

Available GBI Invoicing packages, monthly or yearly billing options, applicable invoice limits and listed prices are those presented in the applicable official offer or agreed order at the time of purchase, subject to any clearly stated taxes, discounts and conditions. Not all features are included in every package, and additional services such as onboarding, custom integrations or training may require a separate quotation.

Where a plan is subject to usage limits or role permissions, you must remain within those limits unless an upgrade or additional capacity is agreed. An account that reaches a limit may require an upgrade or plan renewal to continue the affected function. We will not represent website package previews as a substitute for your final invoice, order confirmation or agreed commercial terms.

6. Billing cycles, payment and renewal

Subscription charges are payable according to the accepted monthly or yearly cycle and any stated due date. Discounts or annual savings apply only when expressly included in the applicable offer. We may issue notices about an upcoming renewal, unpaid invoice or change in billing status using the contact channels associated with the account.

Payment collection may be manual or supported by a designated payment provider, depending on the service configuration. No automatic card charge is implied unless an available payment flow expressly requests and obtains authorisation for recurring payments. Customers remain responsible for applicable bank charges, taxes or withholding requirements, except where law or a written agreement provides otherwise.

7. Overdue accounts and access restrictions

If a payment becomes overdue, available features or account access may be limited, suspended or not renewed in accordance with the applicable plan and any stated grace period. We will endeavour to provide reasonable account notices when feasible, but access to a paid function may depend on the account's current status.

Suspension does not cancel amounts already due or the customer's duty to preserve legally required financial records. Where practicable, an account holder should arrange any available exports or record retrieval before a planned termination or expiry.

8. Cancellation, refunds and changes to a plan

Customers may request cancellation, non-renewal or a plan change through the available account process or by contacting GB Innovators. The effective timing, credits and refund eligibility depend on the purchased package, whether service has already been delivered, specific written commercial terms and applicable non-waivable law. Unless a separately communicated policy or mandatory law states otherwise, fees for an already provided subscription period or completed custom service are not automatically refundable.

Before a service is cancelled, customers should consider active invoices, record retention duties and any integration dependencies. We may provide a proportionate transition or export process where offered and contractually agreed; cancellation itself does not promise unlimited continued hosting or retention.

9. FBR digital invoicing and third-party regulatory systems

Where enabled, the Invoicing Platform supports configured workflows for preparing data for, and transmitting eligible submissions to, Pakistan's Federal Board of Revenue (FBR) environment through the relevant authorised connection or licensed integrator where required. The customer's regulatory eligibility, registrations, permissions, integration approvals and accurate business data remain the customer's responsibility.

FBR or its designated systems may reject, delay, change validation rules for, or become unavailable for a submission. We do not guarantee acceptance, real-time completion, uninterrupted connectivity or satisfaction of every statutory requirement. Each business must review the official FBR technical and legal requirements, use the prescribed integration arrangement and seek qualified tax advice where appropriate.

10. Submission responsibilities and invoice accuracy

Before posting, an authorised user must review seller/buyer registration, invoice date and type, description, applicable HS code, unit of measurement, quantity, value, tax rate, exemption, SRO/schedule reference and other required details. Data-selection suggestions, lookups and autofill features are convenience tools; they do not replace the user's review or legal tax classification.

The business is responsible for correcting rejected or inaccurate entries in accordance with the regulatory process and maintaining an appropriate audit trail. Saving an invoice draft, generating an internal PDF or displaying an on-screen validation indicator does not by itself constitute FBR acceptance.

11. Verification indicators, invoice numbers and QR codes

The platform may present invoice numbers, regulatory acknowledgements and QR-based verification where the applicable external service has returned the information required for those outputs. Labels such as "verified" relate to the particular successful workflow response; they do not certify the tax treatment, buyer identity, underlying commercial transaction or legal correctness of every input field.

Users must not alter, forge or misrepresent verification outputs. QR codes or reference numbers may be independently checked using the relevant official facility when available, and the official authority's records prevail in a discrepancy.

12. Customer and consultant access; tenant separation

Where the product allows consultants, companies or delegated team members to manage multiple client organisations, each user must act solely within the permissions and written authority granted by the relevant organisation. Users must not attempt to view, export or modify another company's records without permission.

Customer-specific records are intended to be handled within the authorised business workspace. The presence of a multi-company administration capability does not grant one customer unrestricted access to another customer's information.

13. Customer content and ownership

As between the parties, the customer retains its rights to original business data, trade names, invoices, customer lists, uploaded logos and other content supplied by or for the customer ("Customer Content"), subject to third-party rights. The customer grants GB Innovators a limited right to host, display, reproduce, process, back up and transmit that content only as reasonably needed to deliver the Services, comply with lawful requirements and fulfil the agreed arrangement.

Customers warrant that they have authority to upload and process Customer Content and that it does not infringe others' rights or include material used unlawfully. We do not acquire ownership of genuine business invoices or client data solely because it is processed through our software.

14. Company branding and uploaded material

Customers may upload logos and brand assets for use on invoices and related outputs where that feature is enabled. You are responsible for having the right to use every uploaded image, design, trading name or mark and for ensuring branded invoices do not mislead recipients.

Do not upload malware, executable files disguised as media, unlawful content or personal information unrelated to the business purpose. We may reject, remove or restrict material that creates a security, legal or operational risk.

15. Intellectual property and permitted licence

Unless specifically assigned under a written agreement, GB Innovators and its licensors retain their rights in the Services, source code, design systems, documentation, logos, product names, user-interface components and other platform materials. Subject to payment and compliance with these Terms, we grant the subscribing customer a limited, non-exclusive, non-transferable right to use the subscribed service for its internal lawful business operations during the applicable service period.

This does not grant ownership of the hosted platform's source code or permission to resell, sublicense, copy or create a competing service from proprietary components. Ownership of deliverables produced through a custom software engagement is governed by the relevant signed project agreement.

16. Acceptable-use restrictions

  • Do not try to bypass role permissions, access another user's records, test vulnerabilities without authorisation or interfere with security controls.
  • Do not distribute malware, automate abusive requests, overload infrastructure, scrape restricted data or attempt unauthorised reverse engineering.
  • Do not create false invoices, misrepresent tax registration, forge FBR response data or use the Services in support of illegal or deceptive activities.
  • Do not share passwords, OTPs, private API credentials or privileged accounts with unauthorised persons.
  • Do not use the Services to infringe copyright, privacy, confidentiality or other third-party rights.

We may investigate reported abuse and apply proportionate restrictions as necessary to protect users, service availability and legal compliance.

17. Third-party integrations and dependencies

Some functions rely on third-party networks, hosting, telecommunications, payment services, regulators or integration providers. Their features, approvals, usage limits, technical standards and terms may change independently of GB Innovators. You are responsible for obtaining any permits, access credentials, lawful permissions and subscriptions required for your specific external integration.

We may modify an affected integration when necessary to follow official requirements or maintain security. A third-party outage or regulatory rejection is not equivalent to a guarantee failure by GB Innovators unless the applicable service contract expressly states otherwise.

18. Availability, maintenance, backups and support

We seek to provide a dependable and maintainable business service, but cannot promise uninterrupted or error-free access. Scheduled upgrades, urgent maintenance, network faults, third-party outages, regulatory downtime or circumstances beyond reasonable control may affect availability.

Support scope, response commitments, recovery objectives and backup or export arrangements depend on the subscribed service and any specific agreement. Customers should maintain their own legally required copies of invoices and accounting documents, and should not assume that any particular retention period, service level or restoration deadline applies unless expressly committed.

19. Privacy, confidentiality and business data

Our handling of personal information is described in the Privacy Policy. Each customer is responsible for its own legal notices, consent or other lawful grounds, instructions to delegated users, and confidentiality obligations concerning any customer, employee, supplier or buyer data entered in the platform.

Information disclosed to us in an agreed confidential business or software engagement will be treated according to the applicable confidentiality contract. General website enquiries should not contain passwords, regulatory access tokens or highly sensitive third-party information.

20. Security incidents and account protection

We may restrict access, reset sessions, request verification or temporarily suspend affected functionality if we reasonably suspect misuse, compromised credentials, security threats, unlawful conduct or a material breach of these Terms. Measures will be proportionate to the risk and any applicable legal obligations.

Customers must report suspected compromise without unnecessary delay and cooperate reasonably with legitimate verification or remediation steps. We will handle relevant incident communications in accordance with applicable law, service contracts and operational requirements.

21. Service changes and discontinuation

We may improve, replace or retire features to address user needs, security threats, changes in official requirements or technical dependencies. Where a material change adversely affects an active paid plan, we will provide suitable notice or options when required under applicable law or agreement. We will not silently replace agreed custom deliverables or project obligations outside a valid change-control process.

22. Professional advice and compliance limitations

GBI Invoicing helps organise operational and invoicing workflows. Unless separately retained under a signed professional engagement, GB Innovators does not provide legal, accounting, audit or tax-advisory services through use of the platform. Any general explanations, feature labels or reference data are informational and should not be relied on as individual tax or legal advice.

Businesses should consult an appropriately qualified adviser about applicable Pakistani sales tax rules, invoice classification, record retention, regulatory integration requirements, invoicing obligations and any cross-border legal issues.

23. Warranties and limitations of responsibility

We will use reasonable care in providing the Services in accordance with any express written commitments. Except where a contract expressly provides otherwise or law requires, the Corporate Website is made available for general information and the Services are offered subject to technical constraints and third-party dependencies. We do not warrant that every feature is suitable for every customer's particular regulatory, commercial or accounting circumstances.

To the maximum extent permitted by applicable law, GB Innovators is not liable for indirect or consequential losses such as lost anticipated profits, business opportunity or reputational harm arising solely from use of the Services. Subject to non-excludable liability and the specific written agreement, our aggregate contractual liability relating to a paid hosted service will not exceed the fees paid for the affected hosted service during the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability that applicable law does not permit to be excluded, including fraud or intentional misconduct where such exclusions are prohibited.

24. Customer responsibility and third-party claims

The customer is responsible for lawful and accurate content and for actions of its authorised users. Where legally permitted and proportionate, the customer agrees to cooperate in addressing third-party claims arising from its unlawful content, fraudulent submissions or material breach of these Terms. Any indemnity or additional allocation of liability for a custom engagement will be governed by the relevant separate written contract.

25. Suspension, termination and consequences

Access may be suspended or terminated for non-payment, serious security risk, unlawful activity, material breach, customer request, or discontinuation of a service in accordance with an applicable agreement. Where appropriate, we will give reasonable notice and an opportunity to remedy a breach, unless immediate action is necessary to contain harm or meet legal duties.

On termination, rights to use the relevant software service end, subject to any agreed transition or export provisions. Obligations concerning payments already due, data protection, ownership, confidentiality, liability and other clauses that logically survive termination continue to apply as appropriate. Previously completed FBR transactions and issued invoices remain subject to the applicable independent legal records and tax rules.

26. Governing law and disputes

Unless a different law or dispute-resolution process is specified in a binding written agreement, these Terms are governed by the applicable laws of Pakistan, excluding conflict-of-laws rules to the extent permitted. The parties should first attempt good-faith resolution by contacting each other and providing reasonable details of the concern. Unresolved disputes may be brought before courts of competent jurisdiction in Pakistan, subject to mandatory law and any agreed alternative dispute-resolution mechanism.

Nothing in this clause overrides non-waivable rights that apply to a particular customer or person under mandatory law.

27. Updates, severability and continued use

We may revise these Terms as the Services, official technical requirements or applicable law evolve. The date shown above identifies the latest revision of this page. Material changes to ongoing paid services will be communicated where required by law or contract. If a provision is held unenforceable, the remaining provisions continue to apply to the extent legally permissible. Failure to enforce a provision once does not automatically waive it later.

28. Contact and support

For subscriptions, account permissions, service questions, billing, legal correspondence or a request to discuss separate terms for a custom project, contact adnan@gbinnovators.com or use our contact form. Please identify your business and the relevant service so the request can be routed appropriately.
